Employer Service Agreement

Last Updated: August 23, 2026 · Template for execution — see signature block

This Employer Service Agreement ("Agreement") is entered into between MYTEBETO (registered address: [registered address], company registration number [PACRA registration number]) ("MYTEBETO", "we", "us") and the employer identified in the signature block below ("Employer", "you"), together with the general MYTEBETO Terms of Service and Privacy Policy, which this Agreement supplements. Where this Agreement conflicts with the Terms of Service on a matter specific to Employer Accounts, this Agreement governs.

1. The Service

MYTEBETO provides a platform through which the Employer allocates meal budgets to its Employees, Employees place OTP-confirmed food orders against those budgets at partner Restaurants, and MYTEBETO invoices the Employer for budgets funded and platform fees incurred. MYTEBETO is a technology and settlement platform; it is not a party to, and accepts no responsibility for, the individual employment relationship between the Employer and its Employees.

2. Employee Onboarding and Management

  • The Employer is solely responsible for the accuracy of the Employee data it submits, and confirms it has the right to share that data with MYTEBETO for the purposes of this Agreement
  • The Employer must promptly notify MYTEBETO of any Employee's termination, suspension, or leave of absence, and remains liable for budget allocated to an Employee until that notification is processed
  • The Employer sets and may adjust each Employee's monthly budget within any limits agreed with MYTEBETO; budgets reset on the first day of each month and unused amounts do not roll over unless otherwise agreed in writing
  • The Employer may suspend or reactivate individual Employee accounts at any time through the platform

3. Fees, Invoicing and Payment

3.1 Charges

The Employer's monthly invoice covers (a) the value of Employee meal budgets funded or utilised during the billing period, and (b) any platform or subscription fees agreed between the parties at [fee schedule reference / pricing tier]. The employee-side service fee described in the Terms of Service (currently 10% of each order) is charged to the Employee's budget at the time of order and is reflected in the budget value invoiced to the Employer; it is not a separate line charged to the Employer.

3.2 Invoicing Cycle

  • Invoices are generated on the 1st of each month for the preceding billing period
  • Payment is due within 30 days of the invoice date
  • All amounts are in Zambian Kwacha (ZMW) and exclude any applicable Value Added Tax, which will be shown separately where it applies

3.3 Late Payment

If an invoice remains unpaid 15 days after its due date, MYTEBETO may suspend the ability of the Employer's Employees to place new orders until the outstanding balance is settled, without affecting the Employer's obligation to pay. MYTEBETO may charge interest on overdue amounts at [rate]% per month, or the maximum permitted by Zambian law if lower.

4. Data Protection

For the personal data of its Employees submitted to MYTEBETO (name, contact details, and employment status), the Employer acts as the data controller and MYTEBETO acts as a data processor, processing that data solely to provide the Service and in accordance with the Employer's instructions as reflected in this Agreement and the Employer's use of the platform. MYTEBETO will:

  • process Employee personal data only for the purposes set out in this Agreement and the Privacy Policy
  • implement appropriate technical and organisational measures to protect that data
  • notify the Employer without undue delay on becoming aware of a personal data breach affecting its Employees' data
  • assist the Employer in responding to data subject requests from its Employees, to the extent MYTEBETO is able to do so

The Employer confirms it has a lawful basis to share its Employees' personal data with MYTEBETO and, where required by the Data Protection Act, 2021, has informed its Employees that their data will be processed by MYTEBETO for these purposes.

5. Term and Termination

  • This Agreement begins on the date of signature and continues until terminated by either party on 30 days' written notice
  • MYTEBETO may suspend or terminate this Agreement immediately if an invoice remains unpaid more than 60 days after its due date, or for material breach that is not remedied within 14 days of notice
  • On termination, the Employer remains liable for all invoices issued up to and including the termination date, and any unused Employee budget balances are forfeited unless the parties agree otherwise in writing

6. Liability

Except for a party's payment obligations, breach of confidentiality, or liability that cannot be excluded under Zambian law, neither party's liability under this Agreement for indirect, incidental, or consequential loss will exceed the total fees paid or payable by the Employer under this Agreement in the 3 months preceding the event giving rise to the claim.

MYTEBETO is not responsible for the food quality, safety, or preparation standards of any Restaurant, which remain the sole responsibility of that Restaurant under its own Restaurant Merchant Agreement with MYTEBETO.

7. Confidentiality

Each party will keep confidential any non-public information disclosed by the other in connection with this Agreement, including pricing, aggregated usage data, and business plans, and will use it only to perform its obligations under this Agreement.

8. Force Majeure

Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control, including power or network outages, mobile money or banking system failures, or government action, provided the affected party notifies the other promptly and uses reasonable efforts to resume performance.

9. Dispute Resolution and Governing Law

This Agreement is governed by the laws of the Republic of Zambia. The parties will first attempt to resolve any dispute by good-faith negotiation, then mediation, and failing that by arbitration in Lusaka, Zambia, consistent with the Terms of Service.

10. General

This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between the parties on its subject matter. If a provision is found unenforceable, the remainder continues in effect. Neither party may assign this Agreement without the other's written consent, except that MYTEBETO may assign it in connection with a merger, acquisition, or sale of substantially all its assets on written notice to the Employer.
